SMS terms
Key Element AI LLC, doing business as Key Element, offers optional business texting for customer support, appointment coordination, and service or account updates. Messages come from our shared business number, +1 (904) 587-4436. Message frequency varies with your conversations and service needs. Message and data rates may apply.
We require your express permission before sending business texts. Providing a phone number in a website inquiry does not enroll you. Consent is not a condition of purchasing services. You can use email instead.
Reply STOP to opt out. You may receive a confirmation of your opt-out, after which business texts will stop. Reply HELP for assistance, or email nathan@keyelement.ai. Carriers are not liable for delayed or undelivered messages. Texting is not an emergency service.
Our SMS privacy policy explains how we use and retain phone numbers, messages, and consent records. We do not sell or share SMS opt-in data or personal information with third parties for marketing purposes.
Verbal enrollment
When requesting permission by phone or in person, our staff must read the following disclosure in full, receive an affirmative answer, and record the phone number, date, staff member, and consent evidence in the CRM before sending:

If you decline, staff will not enroll you. We retain the permission record with the conversation and honor later opt-out requests.
Agreement to Terms
By accessing or using the Key Element website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Description of Services
Key Element provides technology consulting services, including but not limited to:
- AI Strategy and Enablement consulting
- Data and Analytics services
- Custom Software Development
- Automation and Integration solutions
- AI-powered content creation platform
User Responsibilities
When using our services, you agree to:
- Provide accurate and complete information
- Maintain the confidentiality of any account credentials
- Use our services only for lawful purposes
- Not interfere with or disrupt our services
- Not attempt to gain unauthorized access to our systems
- Comply with all applicable laws and regulations
Intellectual Property
All content on the Key Element website, including text, graphics, logos, and software, is the property of Key Element or its licensors and is protected by intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.
Consulting Services
Engagement Terms
Consulting engagements are governed by separate service agreements that will be provided prior to the commencement of work. These agreements will detail:
- Scope of services
- Deliverables and timelines
- Fees and payment terms
- Confidentiality obligations
- Intellectual property rights for work product
Client Obligations
To ensure successful delivery of services, clients are expected to provide timely access to necessary information, personnel, and systems as reasonably required.
Platform Services
Use of our SaaS platform is subject to additional terms that will be presented during account registration. Platform subscriptions are:
- Billed on a recurring basis according to the selected plan
- Subject to fair usage policies
- Cancellable at any time with effect from the next billing period
Limitation of Liability
To the maximum extent permitted by law, Key Element shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claims arising from the use of our services shall not exceed the amount paid by you for the services during the twelve (12) months preceding the claim.
Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or completely secure.
Indemnification
You agree to indemnify and hold harmless Key Element and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.
Termination
We reserve the right to terminate or suspend access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
Changes to Terms
We reserve the right to modify these terms at any time. We will provide notice of significant changes by updating the "Last updated" date. Continued use of our services after changes constitutes acceptance of the modified terms.
